1. Who we are

Match My Business (“MMB”, “we”, “us”) is an online platform that connects entrepreneurs, investors and freelancers in an ethical, halal-compliant ecosystem. We provide discovery, matching, messaging, community features, and optional tools (e.g., scoring, documents, escrow/milestones via third parties). We do not provide financial, legal, tax or sharia rulings to users.

2. Acceptance of the Terms

By creating an account or using MMB (the “Platform”), you agree to these Terms & Conditions (“Terms”) and to our Privacy Policy. If you do not agree, do not use the Platform.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. You are responsible for complying with the laws applicable in your jurisdiction.

4. Accounts, Security & KYC

You are responsible for safeguarding your login credentials and for all activities under your account. We may require identity verification (KYC) and project/investor verification. We may suspend or terminate accounts that fail or bypass verification, present risks of fraud, or violate these Terms.

5. Nature of the Service (No Advice)

MMB is an intermediary. We do not:

  • give investment, legal, tax or accounting advice;

  • recommend specific deals;

  • guarantee the success, compliance or profitability of any project;

  • hold client funds (when escrow is used, it is provided by third-party regulated partners).
    All decisions are your own. You assume all risks associated with your interactions and transactions.

6. Halal & Ethical Positioning

MMB is designed to support interest-free (no riba) and ethical business interactions and to avoid sectors considered non-compliant (e.g., alcohol, gambling, adult content). However, MMB does not issue fatwas. Where applicable, sharia review/endorsement is provided by independent advisors and displayed on a per-project basis. Users remain solely responsible for ensuring their own compliance with religious and legal requirements.

7. User Content & Conduct

You are solely responsible for the content you submit (project descriptions, documents, messages, etc.). You agree to:

  • provide accurate, non-misleading information;

  • not infringe third-party rights (IP, privacy, publicity);

  • not upload malware or attempt to breach security;

  • not engage in harassment, hate speech, scams or unlawful activities.
    We may remove or moderate content at our discretion.

8. Matching, Messaging & Deals

MMB provides tools to discover and contact other users. All deal terms are negotiated directly between users. You agree to use clear written contracts for any transaction and to respect any DealPack / contract templates provided (if used) and any escrow/milestone flow set by the parties and/or providers.

9. Fees, Subscriptions & Commission

MMB may charge (i) subscription fees (Free, Pro, Premium tiers) and/or (ii) commissions on completed deals as disclosed on the Platform or in your plan. Fees are due upon the triggering event (e.g., deal completion or milestone release) and are non-refundable unless stated otherwise.

10. Anti-Circumvention

To protect the ecosystem and ensure security for both parties, any transaction initiated through MMB must be concluded through MMB (or its designated payment/escrow flow).
You must not attempt to avoid fees by moving the transaction off-platform. If you bypass the Platform after initial contact, MMB may: (a) charge the applicable commission based on reasonable evidence, (b) suspend or terminate your account, and/or (c) pursue any remedies available in law or equity.

11. Payments, Escrow & Milestones

Where available, payments are executed via third-party providers (e.g., escrow with staged milestone releases). Funds are held and released according to the milestone plan agreed by the parties. MMB is not a money services business and does not custody client funds.

12. Verification Badges & Scores

Badges (e.g., “Verified Founder/Investor”) and automated scores (e.g., feasibility/quality) are informational only, not endorsements. They may be updated, limited or withdrawn at any time.

13. Prohibited Activities

Including but not limited to: fraud; money laundering; terror financing; IP infringement; doxxing; sharing private contact data to bypass the Platform; promoting non-compliant sectors contrary to MMB policies; scraping; reverse engineering; or any activity that could harm the Platform or its users.

14. Intellectual Property

The Platform, brand elements, UI, templates and underlying software are owned by MMB or its licensors. You receive a limited, revocable, non-transferable license to use the Platform for its intended purpose. You retain rights to your own content but grant MMB a non-exclusive license to host, display and operate it within the Platform.

15. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store and protect personal data (including compliance with applicable laws such as PIPEDA/Quebec privacy law and, where relevant, GDPR).

16. Third-Party Services

The Platform may integrate third-party tools (e.g., email, analytics, escrow, KYC). Those services are governed by their own terms and privacy policies. MMB is not responsible for third-party failures.

17. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, MMB disclaims all warranties (express or implied), including merchantability, fitness for a particular purpose and non-infringement. MMB does not warrant uninterrupted or error-free operation.

18. Limitation of Liability

To the maximum extent permitted by law, MMB will not be liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost data, or business interruption. MMB’s aggregate liability for any claim will not exceed the greater of (i) the amounts you paid to MMB in the 6 months preceding the claim or (ii) CAD 250.

19. Indemnification

You agree to defend, indemnify and hold harmless MMB, its officers, employees and partners from any claims, damages, liabilities, costs and expenses (including legal fees) arising out of your use of the Platform, your content, your breach of these Terms, or your dealings with other users.

20. Suspension & Termination

We may suspend or terminate your access at any time for breach, risk, fraud, or to protect users and the Platform. You may close your account at any time. Sections which by nature should survive (fees, anti-circumvention, IP, disclaimers, liability, indemnity, governing law) shall survive termination.

21. Governing Law & Dispute Resolution

These Terms are governed by the laws of Quebec and Canada, without regard to conflict of law rules. Any dispute will first be addressed through good-faith negotiation and, failing that, mediation in Montreal, Quebec. If still unresolved, the parties may submit to the exclusive jurisdiction of the courts of Quebec, district of Montreal (unless both agree to binding arbitration).

22. Changes to the Terms

We may update these Terms from time to time. The “Last updated” date will change. Material changes will be notified via the Platform or email. Continued use after changes constitutes acceptance.
